This Referral Agreement (“Agreement”) is entered into by and between:
hōmhub, operated by DOSS Group, Inc. (“hōmhub”), and
GAE Member / Realtor / Real Estate Agent / Estate Agent (“Referral Partner”).
This Agreement automatically applies to every active member of the Global Agent Exchange (GAE), powered by hōmhub, beginning May 1, 2026, and remains in full force and effect for as long as the Referral Partner maintains active GAE Membership.

1. PURPOSE

The Global Agent Exchange (GAE) is a modern listing and referral platform designed to empower real estate professionals with direct consumer engagement and lead opportunities.
This Agreement governs the referral relationship between hōmhub and the Referral Partner for leads generated through hōmhub’s marketplace.

2. REFERRAL RELATIONSHIP

hōmhub operates as a real estate brokerage upon issuance of its Texas Broker License.
hōmhub has applied to become a Texas Real Estate Brokerage.
Upon approval, the Broker of Record will be: Jesse Watson, Chief Brokerage Officer (CBO), hōmhub.
Beginning May 1, 2026, referral fees shall be payable to:

This Agreement constitutes a lawful referral relationship between licensed brokerage entities and licensed real estate professionals, consistent with applicable federal and state laws.

3. REFERRAL FEE

For any lead generated through hōmhub and connected to the Referral Partner:

The Referral Partner agrees to pay 25% of the negotiated gross commission earned from the transaction resulting from the hōmhub lead.
“Gross Commission” means the total commission earned by the Referral Partner before any brokerage splits, fees, or deductions.

Important Clarification

The Referral Partner acknowledges and agrees:

The payment of a 25% referral fee to hōmhub shall not adversely impact or inflate the commission charged to a buyer or seller.
Commission rates remain fully negotiable.
The Referral Partner shall determine compensation based solely on the unique services and representation needs of the client, not influenced by the referral fee percentage owed to hōmhub, or the referral partner placing their personal needs before the clients.
The referral fee is a cost of business associated with receiving the hōmhub lead and shall not alter the professional obligation to provide fair, transparent, and consumer-focused service.

4. PAYMENT TERMS

The referral fee and a copy of the final settlement statement (Closing Disclosure or HUD-1, as applicable) must be delivered to hōmhub within 14 calendar days after closing.
hōmhub strongly prefers that the Title Company or Closing Attorney disburse the referral fee directly to hōmhub at closing.
If direct disbursement does not occur, the Referral Partner remains responsible for remitting the referral fee within the 14-day timeframe.

Failure to remit payment within the required timeframe may result in:

Suspension or termination of GAE Membership
Collection efforts
Legal remedies permitted under applicable law

5. REFERRAL DISCLOSURE & TRANSPARENCY

Upon connection of a potential client to the Referral Partner:
hōmhub will issue a formal Referral Disclosure Agreement via DocuSign to both the client and the Referral Partner.
This disclosure ensures full transparency and compliance with applicable real estate laws.
The Referral Partner agrees to execute the referral disclosure promptly in pursuit of ethical business practices and informed client consent.

Transparency is a foundational principle of the Global Agent Exchange, Powered by hōmhub.

6. TERM

This Agreement:

Automatically becomes effective for all active GAE Members beginning May 1, 2026.
Remains in effect continuously for as long as the Referral Partner maintains active GAE Membership.
Terminates automatically upon cancellation, expiration, or revocation of GAE Membership.

However, any referral fee obligations arising from leads introduced during active membership shall survive termination until satisfied.

7. PROFESSIONAL RESPONSIBILITIES

The Referral Partner agrees to:

Maintain all required real estate licenses in good standing.
Conduct business in compliance with federal, state, and local laws.
Uphold professional standards consistent with ethical real estate practice.
Act in the best interest of the client at all times.

hōmhub does not direct or control the day-to-day activities of the Referral Partner. The Referral Partner remains an independent contractor responsible for their own brokerage relationships and compliance.

8. INDEPENDENT RELATIONSHIP

Nothing in this Agreement shall be construed to create:

An employer-employee relationship
A partnership
A joint venture

The Referral Partner operates independently within their licensed brokerage structure.

9. GOVERNING LAW

This Agreement shall be governed by and interpreted in accordance with the laws of the State of Texas.

10. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between hōmhub and the Referral Partner regarding referrals generated through hōmhub.
hōmhub reserves the right to update or amend this Agreement with written notice to GAE Members.

ACKNOWLEDGMENT & SIGNATURE

By signing below, the Referral Partner acknowledges:

They have read and understand this Referral Agreement.
They agree to remit 25% of the negotiated gross commission for hōmhub-generated leads.
They understand that commission rates charged to clients must remain independently negotiated and not influenced by the referral fee obligation.
They agree to execute referral disclosures and comply with all payment timelines.
